Terms of Service

These Terms of Service ("Terms") govern your access to and use of Slab, including seller accounts, public shop pages, inventory tools, QR-code features, pricing information, and related services (collectively, the "Service"). The Service is provided under the name Slab ("Slab," "we," "us," or "our"). By creating a seller account or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. What Slab Does

Slab is an inventory and browsing platform for trading-card sellers. Sellers can add card inventory and create public shop pages. Buyers can access a shop page, including by scanning a seller's QR code, and browse the listed inventory in a web browser on a phone, tablet, or computer.

Slab is not a marketplace, payment processor, escrow service, auction platform, financial institution, authentication service, or shipping provider.

2. Eligibility and Seller Accounts

You must be at least 18 years old to create or operate a seller account.

You agree to provide accurate account information, protect your login credentials, and accept responsibility for activity conducted through your account. Slab may require email verification before some account functions are available.

The current beta signup system is not invite-only. Any waitlist is separate from account registration and does not by itself guarantee, restrict, or control access to the Service.

3. Public Shops

A Slab shop and the information displayed on it are public to anyone who has or obtains the shop link. A Slab account is not required to browse a public shop.

Depending on the information you add and your display settings, your public shop may include the following:

- seller or shop name, tagline, avatar, and shop web address;

- card inventory, asking prices, condition, quantity, language, images, rarity, grading details, and other card information;

- availability or sold status; and

- other information made available through the public shop interface.

Do not add information to a public-facing profile or inventory listing that you do not want other people to view, copy, save, photograph, or share.

4. Seller Responsibility for Inventory

You, not Slab, own and control your inventory. You are responsible for:

- having the legal right to list and sell each item;

- accurately describing each card, including its condition, quantity, language, grading information, and other characteristics;

- setting and changing your own asking prices;

- keeping availability and sold status reasonably current; and

- complying with applicable laws in connection with your listings and sales.

Slab does not inspect, authenticate, certify, approve, price, or independently verify cards or sellers. A listing does not mean that Slab has confirmed authenticity, condition, ownership, legality, or seller identity.

5. Transactions Happen Outside Slab

Slab does not provide checkout, payment processing, escrow, shipping, refunds, or returns. Slab does not collect or transmit credit-card numbers, bank-account information, or other payment credentials.

Every purchase, sale, payment, delivery, exchange, return, refund, or other transaction occurs directly between the buyer and seller outside Slab. Slab is not a party to those transactions.

Buyers and sellers are solely responsible for resolving disputes involving authenticity, condition, ownership, payment, delivery, price, refunds, returns, chargebacks, or any other transaction issue.

6. Sold Status Is Bookkeeping Only

Slab may allow a seller to mark inventory as sold and record information such as a sold date or sold price. These features are inventory-management and bookkeeping tools only.

Marking an item as sold does not prove that a transaction occurred or that payment was made. It does not create a receipt, identify a buyer, or create a transaction record verified by Slab.

7. Market and Pricing Information

Slab may display market prices, graded prices, or other pricing information supplied by third parties, including PokemonPriceTracker. This information is provided for general reference only. It is not an appraisal, offer, guarantee of value, or recommendation to buy or sell.

Pricing information may be inaccurate, incomplete, unavailable, or outdated. A pricing figure carries a timestamp and may be hours or days old when displayed. You are solely responsible for setting prices and making buying or selling decisions.

8. Shop Web Addresses

Sellers may select an available Slab shop web address from a shared pool. Some names, words, phrases, trademarks, system routes, or other addresses may be unavailable or reserved.

Slab may reject, reserve, reassign, or remove an address when reasonably necessary to operate the Service, prevent impersonation or infringement, protect users, or comply with law.

If you change your shop address, the previous address may continue redirecting visitors to your current shop. Changing an address does not necessarily make the old address immediately unusable or private.

9. Seller Content

You retain ownership of content that you submit to Slab and already have rights to, including an avatar, shop name, tagline, inventory descriptions, and uploaded images ("Seller Content").

You grant Slab a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, transmit, and publicly display Seller Content as reasonably necessary to operate, secure, maintain, and improve the Service. This license does not transfer ownership of Seller Content to Slab.

You represent that you have the rights needed to upload and display Seller Content and that your use of it does not violate another person's intellectual-property, privacy, publicity, or other rights. Content supplied by Slab or third parties remains the property of its applicable owner or licensor.

10. Acceptable Use

You may not use Slab to:

- list property you do not have the right to sell;

- knowingly present counterfeit or fraudulent goods as authentic;

- list stolen property or anything whose sale is unlawful;

- commit fraud, deception, impersonation, harassment, threats, exploitation, or other unlawful harm;

- upload content that violates intellectual-property, privacy, publicity, or other rights;

- upload malicious software or code intended to damage or interfere with the Service;

- gain or attempt to gain unauthorized access to another account or connected system;

- manipulate, overload, disrupt, scrape, reverse engineer, or interfere with the Service, except where applicable law expressly permits it;

- use automated systems in a way that materially burdens or disrupts Slab; or

- use the Service for any purpose that violates applicable law.

11. Suspension and Removal

Slab may remove content or suspend, restrict, or terminate an account or public shop when we reasonably believe it is necessary because of a violation of these Terms, fraud or suspected fraud, infringement, illegal activity, a security risk, abuse, harm to another person, a legal requirement, or conduct that materially threatens the Service.

Where appropriate, you may contact matt@getslabapp.com to request review of an account action. Slab is not required to continue hosting content or an account when doing so would violate law or create a security risk.

12. Account Closure and Deletion

You may request closure of your seller account by emailing matt@getslabapp.com. Slab does not currently provide self-service account deletion.

Deletion is a manual process because account information, application and inventory records, and uploaded files are stored in separate systems. Personal information is handled as described in the Slab Privacy Policy.

Closing a Slab account does not cancel, reverse, or otherwise affect a transaction completed outside Slab.

13. Free Beta Service

Slab is currently a free beta service. Features may contain errors, change, be redesigned, become unavailable, or be removed.

Free beta access does not promise that Slab or any feature will remain free permanently. Slab may introduce paid plans or paid functionality later. Slab will not charge you solely because you used the free beta. Any future charge will require appropriate notice and any authorization required for the paid service.

If subscriptions, checkout, or payment processing are added, these Terms and the Privacy Policy may be updated before those features are offered.

14. Changes to or Discontinuation of Slab

We may modify, suspend, or discontinue all or part of the Service. Where reasonably practical, we may provide advance notice of a material shutdown or discontinuation, but Slab does not currently promise a specific notice period.

Slab does not guarantee that an inventory-export feature will always be available. Sellers should keep any separate business or inventory records they consider important. If Slab is discontinued, retained personal information will be handled under the Privacy Policy and applicable law.

15. Third-Party Services

Slab relies on third-party providers for infrastructure, hosting, authentication, storage, email delivery, and pricing data. Slab is not responsible for interruptions, inaccuracies, or other problems originating from third-party services outside our reasonable control. Third-party content and data may be subject to the rights and terms of their applicable owners or providers.

16. Slab Intellectual Property

Except for Seller Content and third-party content, Slab and its licensors retain all rights in the Service, including its software, interface, design, branding, logos, text, graphics, and other materials. These Terms do not transfer any Slab intellectual-property rights to you.

17. Privacy

The Slab Privacy Policy explains how Slab collects, uses, stores, discloses, and deletes personal information.

By creating a public shop, you understand that information displayed on that shop is intentionally public. Slab currently does not process payments and therefore does not collect payment-card or bank-account information through the Service.

18. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." SLAB MAKES NO WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR PERMANENTLY AVAILABLE.

SLAB DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR TIMELINESS OF SELLER INVENTORY, CARD IMAGES OR DESCRIPTIONS, CONDITION OR AUTHENTICITY, ASKING OR SOLD PRICES, THIRD-PARTY MARKET OR GRADED-PRICE DATA, OR OTHER INFORMATION DISPLAYED THROUGH THE SERVICE.

SLAB DOES NOT GUARANTEE THAT A BUYER OR SELLER WILL COMPLETE A TRANSACTION OR PERFORM ANY PROMISE MADE TO ANOTHER PERSON. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY EXCLUSIONS, SO PARTS OF THIS SECTION MAY NOT APPLY TO YOU.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SLAB AND ITS CURRENT OPERATORS, OWNERS, CONTRIBUTORS, CONTRACTORS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL ARISING FROM OR RELATED TO THE SERVICE.

SLAB IS NOT RESPONSIBLE FOR LOSSES ARISING FROM A TRANSACTION BETWEEN A BUYER AND SELLER, INCLUDING FRAUD, NONPAYMENT, COUNTERFEIT GOODS, AUTHENTICITY DISPUTES, SHIPPING LOSS, DAMAGE, RETURNS, REFUNDS, OR PRICING DISPUTES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SLAB'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID DIRECTLY TO SLAB DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US $100. THESE LIMITATIONS DO NOT APPLY WHERE APPLICABLE LAW PROHIBITS THEM.

20. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Slab and its current operators, owners, contributors, contractors, and affiliates from claims, losses, liabilities, damages, and reasonable costs arising from your Seller Content, inventory, buying or selling activity, violation of these Terms, violation of law, or violation of another person's rights.

21. Business Transfers

If Slab is involved in a merger, acquisition, financing, reorganization, sale of assets, bankruptcy, or similar transaction, rights and obligations relating to the Service may be transferred as part of that transaction. Personal information involved in a transfer will remain subject to the Privacy Policy and applicable law.

22. Changes to These Terms

We may update these Terms as Slab changes. When a change is material, we may notify sellers through the Service, by email, or by another reasonable method. The updated Terms will state a new effective date.

Your continued use of Slab after updated Terms become effective constitutes acceptance where permitted by law. If applicable law requires affirmative consent to a change, we will request it.

23. Governing Law and Disputes

These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law principles. Subject to rights that cannot legally be waived, disputes between you and Slab will be brought in a state or federal court with jurisdiction in New Jersey.

Nothing in these Terms limits any right or remedy that cannot be waived under applicable law.

24. General Terms

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. A failure to enforce a provision is not a waiver of that provision.

You may not transfer your rights under these Terms without Slab's consent. Slab may transfer these Terms in connection with a merger, acquisition, restructuring, sale of assets, or similar business transaction.

These Terms and any policies expressly incorporated into them constitute the agreement between you and Slab concerning the Service.
